Terms & Conditions

Please read these Terms and Conditions ("Terms") carefully before using PixVibe (the "Service") operated by Funovate Technology LLC ("we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the Service.

1. Eligibility

You must be at least 18 years of age to use the Service. By using the Service, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms.

2. Description of Service

PixVibe is an AI-powered visual text asset generation platform that allows users to create unique, styled text-based visual artworks. Users may purchase Credits to access generation features. We reserve the right to modify, suspend, or discontinue the Service at any time without notice.

3. Account Registration

To access certain features, you must register for an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete. You are responsible for safeguarding your password and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

4. Credits and Purchases

4.1 Purchasing Credits

PixVibe operates on a Credits-based system. Users may purchase Credits in packs (e.g., Starter Pack, Growth Pack, or through subscription plans). All purchases are one-time payments unless otherwise specified as a subscription. Credits are non-transferable and may not be sold or exchanged.

4.2 Using Credits

Credits are activated upon use — each AI generation consumes 1 Credit. Credits do not expire once purchased, unless your account is terminated due to a violation of these Terms. We reserve the right to modify the Credit consumption rate for future features with reasonable notice.

5. Payments

All payments are processed through Stripe. Prices are listed in USD. By providing payment information, you authorize us to charge the applicable fees to your payment method. You represent that you are authorized to use the payment method you provide.

6. Refund Policy

Credits that have been used for generation are non-refundable. Unused Credits may be eligible for a refund within 14 days of purchase, subject to the following conditions:

• The refund request is submitted within 14 days of the original purchase date.
• No Credits from the purchased pack have been used.
• The request is submitted via email to hello@pixvibe.ai.

We reserve the right to deny refund requests that do not meet these criteria. Subscription fees are non-refundable once the billing period has commenced.

7. Intellectual Property

The Service and its original content (excluding content provided by users), features, and functionality are and will remain the exclusive property of Funovate Technology LLC and its licensors. You retain ownership of the prompts you input. The visual assets generated by PixVibe using your prompts are licensed to you under a non-exclusive, worldwide, royalty-free license for personal and commercial use, subject to these Terms.

You may not use generated assets to train competing AI models, or in any manner that violates applicable laws or third-party rights.

8. User Content and Conduct

You agree not to use the Service to:

• Generate content that is illegal, harmful, threatening, abusive, harassing, or defamatory.
• Generate content that infringes on any third party's intellectual property rights.
• Attempt to reverse engineer or extract model weights from the Service.
• Use automated tools to access the Service in a manner that exceeds reasonable usage.
• Impersonate any person or entity.

We reserve the right to terminate accounts that violate these conduct requirements without refund.

9. Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FUNOVATE TECHNOLOGY LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SERVICE.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) USD $100.

12. Indemnification

You agree to defend, indemnify, and hold harmless Funovate Technology LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Service.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Japan, without regard to its conflict of law provisions. Any dispute arising from or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the Tokyo District Court, Japan. You waive any objection to such jurisdiction and venue.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of significant changes by updating the "Last updated" date at the top of this page. Your continued use of the Service after any changes constitutes acceptance of the new Terms.
